1. Acceptance of Terms

By accessing or using the PolicyHealth.AI website (https://policyhealth.ai) and any related services, platform features, or applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to update or modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

2. Description of Service

PolicyHealth.AI provides an AI-powered platform for healthcare policy and procedure management. The Service is designed to help healthcare organizations automate compliance workflows, manage policy documents, track regulatory changes, and maintain audit readiness.

The Service is intended for use by healthcare organizations and their authorized personnel. It is not intended for individual consumer use or for the management of Protected Health Information (PHI).

3. User Accounts and Access

Certain features of the Service may require you to create an account or be granted access by your organization's administrator. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information when creating an account or submitting forms on our website. You agree to notify us promptly of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

- Use the Service in any way that violates any applicable federal, state, local, or international law or regulation. - Attempt to gain unauthorized access to, interfere with, or disrupt the Service, its servers, or any networks connected to the Service. - Use the Service to transmit any malicious code, viruses, or harmful content. - Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service. - Use the Service to store or transmit Protected Health Information (PHI) unless expressly authorized under a separate agreement. - Resell, sublicense, or redistribute the Service or any portion thereof without our prior written consent. - Use automated tools to scrape, crawl, or extract data from the Service without authorization.

5. Intellectual Property

The Service, including its design, features, content, software, algorithms, and AI models, is owned by PolicyHealth.AI and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Your use of the Service does not grant you any ownership rights in the Service or its underlying technology. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

All trademarks, service marks, logos, and trade names displayed on the Service are the property of PolicyHealth.AI or their respective owners. You may not use any of these marks without prior written permission.

6. Your Content and Data

You retain ownership of any content, data, or materials you upload, submit, or store through the Service ("Your Content"). By using the Service, you grant PolicyHealth.AI a limited license to process, store, and display Your Content solely as necessary to provide the Service to you.

We do not use Your Content to train our AI models. Your data remains yours. We will not access, use, or share Your Content except as necessary to provide the Service, comply with legal obligations, or as otherwise described in our Privacy Policy.

You are responsible for ensuring that Your Content does not violate any applicable laws or infringe on the rights of any third party.

7. Service Level Commitment

PolicyHealth.AI is committed to maintaining 99.9% platform availability, measured on a monthly basis, excluding scheduled maintenance windows. We employ 24/7 security monitoring, AES-256 encryption at rest, and TLS 1.3 encryption in transit to protect your data.

In the event of a material failure to meet the 99.9% availability target in a given calendar month, affected customers may request a service credit by contacting info@policyhealth.ai within thirty (30) days of the impacted month. Service credits will be applied to future invoicing and shall not exceed the fees paid for the affected month.

8. Disclaimers

Except as expressly set forth in Section 7 (Service Level Commitment), the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Subject to the Service Level Commitment in Section 7, PolicyHealth.AI does not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that any defects will be corrected or that the Service will meet your specific requirements.

The Service provides AI-assisted recommendations and analysis related to healthcare policy management. These are intended to support — not replace — professional judgment. You are responsible for reviewing and approving all policy decisions. PolicyHealth.AI is not a law firm and does not provide legal advice.

9. Limitation of Liability

To the fullest extent permitted by applicable law, PolicyHealth.AI and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

- Your access to or use of (or inability to access or use) the Service. - Any conduct or content of any third party on the Service. - Any content obtained from the Service. - Unauthorized access, use, or alteration of your transmissions or content.

In no event shall PolicyHealth.AI's total liability to you for all claims arising out of or related to the Service exceed the amount you paid to PolicyHealth.AI in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless PolicyHealth.AI and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of any third party.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may do so by contacting us at info@policyhealth.ai.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in the courts located in the State of Texas.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and post the revised Terms on our website.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
